Terms of Service

1. Scope of the Platform

CyPRO One Incorporations facilitates the procurement of company incorporation and related corporate administration services in Cyprus. The platform allows you to build a custom service package, receive a quotation, and engage licensed professionals to carry out those services on your behalf. The specific services, pricing, and scope for each engagement are set out in the Quotation sent to you and accepted by you through the platform.

Submission of a quote request does not constitute a binding agreement. A binding engagement is formed only when you formally accept a Quotation issued through the platform.

2. Service Providers

The following independent professionals deliver services through this platform. Each operates under its own regulatory licence and professional obligations.

3. Client Obligations

You agree to:

• Provide accurate, complete, and up-to-date information as required for incorporation and compliance purposes
• Promptly supply requested identity documents and supporting materials
• Notify us of any changes to your personal details or corporate structure
• Pay all fees as set out in the applicable Quotation within the agreed payment terms
• Use our platform and services only for lawful purposes

4. KYC / AML Compliance

All services are subject to satisfactory completion of Know Your Customer (KYC) and Anti-Money Laundering (AML) checks in accordance with Cyprus law. The service providers are legally required to verify the identity of directors and beneficial owners before proceeding with incorporation or any regulated service. CyPRO One Incorporations / ModulOn Solution Ltd reserves the right to suspend or decline any engagement pending satisfactory KYC completion.

5. Payment Terms

Fees are as set out in the Quotation. Unless otherwise agreed in writing:

• One-time fees are due prior to commencement of the relevant service
• Annual and recurring fees are due on or before the anniversary date
• Government fees and disbursements are passed through at cost and must be settled before submission

Failure to pay fees when due may result in suspension of services or resignation as registered agent, company secretary, or nominee director as applicable.

6. Platform Limitation of Liability

ModulOn Solution Ltd operates this platform as a technology intermediary only. To the fullest extent permitted by applicable law:

• ModulOn Solution Ltd's total liability for any claim arising from its role as platform operator shall not exceed the platform fees (if any) paid by you in the 12 months preceding the claim.
• ModulOn Solution Ltd is not liable for any act, omission, advice, or professional conduct of any service provider identified in Section 2.
• ModulOn Solution Ltd is not liable for any indirect, consequential, special, or incidental loss or damage of any kind, including loss of profit, business, or goodwill.
• ModulOn Solution Ltd is not liable for delays caused by third parties, including the Cyprus Registrar of Companies, banks, or government authorities.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the services. This obligation survives termination of the engagement. Your personal data is handled in accordance with our Privacy Policy.

8. Termination

Either party may terminate the engagement by providing 30 days' written notice. Upon termination, you remain liable for all fees incurred up to the termination date and for any costs required to properly wind down the corporate arrangements (e.g. resignation of nominee directors, transfer of registered office).

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the platform following notification of changes constitutes acceptance of the revised Terms.
