How long does Cyprus company formation take?
The standard process typically takes somewhere in the range of one to three weeks from submission of a complete file — though actual timelines depend on the Cyprus Registrar's current workload and cannot be guaranteed. Expedited processing may be available for urgent cases, which can reduce the wait, but processing times are set by the Registrar. The largest variable is name approval — unusual names can require additional review.
Does a Cyprus company require a local director?
No. A Cyprus LTD can be fully owned and directed by non-residents. There is no legal requirement for a Cyprus-resident director. However, for tax residency purposes, having at least one locally resident director can help establish Cyprus as the company's place of management and control — which affects tax residency. What is the minimum share capital required?
There is no minimum paid-up share capital requirement for a Cyprus private limited company (LTD). The standard authorised share capital is €1,000 divided into 1,000 shares of €1 each. This is entirely flexible and can be set higher if required by investors or banking partners.

What tax obligations does a Cyprus company have?
Every Cyprus company must file an annual tax return with the Cyprus Tax Department. Corporate tax of 15% is applied to net taxable profits. Companies with turnover above the VAT threshold (€15,600/year) must register for VAT. Audited financial statements are required annually and submitted to both the Registrar and the Tax Department.
What ongoing compliance is required after formation?
A Cyprus company must maintain annual accounts (audited by a Cyprus-registered auditor where required), file an annual corporate tax return, and submit an annual company return to the Registrar. The previous €350 annual levy was abolished from 2024 onwards. Failure to maintain compliance can result in the company being struck off the register.
